The terms of membership

These terms are an agreement between you and Noyau Dur Limited, a company registered in England and Wales under company number 16935443, whose registered office is at 128 City Road, London EC1V 2NX, United Kingdom.

They govern this site, the web portal where invitations are redeemed and subscriptions are paid, and the Noyau Dur application on iOS. By redeeming an invitation and creating an account, you accept them.

Noyau Dur is closed. Access requires an invitation code, and a person reviews every applicant before an account is activated. There is no public sign-up and no way to buy your way in.

Your code is personal to you. It may not be shared, sold or transferred, and it carries the role you were invited as. We may decline an application, and we may withdraw access where a code has been misused or where these terms have been broken.

Membership is for professionals aged 18 or over.

You sign in with your phone number, or with your email address, and a one-time code. Keep both secure: whoever controls them controls your account. Tell us at once if you think someone else has access.

One person, one account. An account may be used on one active device at a time, and signing in on a new device ends the previous session. We record an identifier for the device you signed in from in order to enforce that.

Every invitation carries one of three roles, and the role decides what you see and what you pay.

• Allocators — investors placing capital into funds. Membership is free of charge.
• Asset managers — managers raising capital. Membership requires a paid subscription.
• Service providers — lawyers, bankers, auditors and adjacent advisers. Membership requires a paid subscription.

You cannot change your own role. If your circumstances change, write to us and we will discuss it.

Paid members subscribe on the web portal, before they ever reach the application. Payment is taken by Stripe. The iOS application contains no purchases, no prices and no payment of any kind.

• Subscriptions are billed in advance, quarterly or annually, in GBP.
• The price that applies is the one shown on the plan screen before you pay. We may change prices for future billing periods, with notice.
• A subscription renews automatically at the end of each period unless you cancel before it ends.
• Except where the law says otherwise, payments are not refundable once a billing period has begun.

You may cancel whenever you wish, and your access runs to the end of the period you have already paid for. To cancel, or to ask anything about billing, write to support@noyaudur.com.

You are shown cards for members your role is permitted to see. Where two members each express interest, the network opens a connection between them and a private one-to-one conversation, carried by Stream Chat.

A connection is an introduction and nothing more. We do not promise that any member will reply, that a conversation will lead anywhere, or that a given number of cards will appear on any day.

Names, email addresses and phone numbers are never revealed automatically. After a match, either side may ask to disclose, and details are exchanged only once both of you have agreed. A service provider's company name is the single exception: it is shown on their card from the start.

Anything another member discloses to you is confidential. Use it for the introduction it was given for. Do not publish it, pass it to anyone outside the network, or add it to a list. You may not copy, scrape or export member data, by hand or by machine, and you may not use the network to send bulk solicitations.

The network works because the people in it behave as professionals. When you use Noyau Dur, you agree to the following.

• Describe yourself, your firm and your role accurately, and keep your profile current.
• Do not impersonate anyone, and do not misstate your role in order to see cards your own role would not show you.
• Do not automate access to the service, probe its security, or work around the limits it places on your account.
• Do not harass another member, and do not use the network for anything unlawful.

Members can report one another. A person reviews every report before anyone is suspended or removed, and we will tell you why.

Noyau Dur introduces professionals to one another. We are not an investment adviser, a broker, a placement agent or a dealer, and we take no part in whatever you and another member go on to agree.

Nothing in the network is investment advice, a recommendation, or an offer or solicitation to buy or sell any security or interest in any fund. Members describe themselves, and we do not verify what they say. Do your own diligence before you act.

During the beta period the application is distributed through Apple TestFlight and is provided as it stands. Features may change or disappear, builds expire, and we do not guarantee that the service will be available without interruption.

To the fullest extent the law allows, our liability arising out of your use of the service is limited to the amount you paid us in the twelve months before the claim. Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
